Terms and Conditions - IDFC FIRST Bank Sodexo Card


These detailed Terms & Conditions apply to and regulate the issuance and usage of Premium Pass, a co-branded prepaid card marketed and serviced by Sodexo and issued by with IDFC FIRST Bank. These terms and conditions (the “Terms and Conditions”) shall be in addition to and not in derogation to any other terms as stipulated by IDFC FIRST Bank and Sodexo from time to time.

“By logging on to the Sodexo – Zeta app you agree to the terms and conditions.”


  1. ‘Card Account’ shall mean the account opened in the name of the Cardholder and maintained by IDFC FIRST Bank/ Sodexo for the purpose of usage of the Card as per the terms and conditions contained herein.
  2. ‘Corporate’ or ‘Client’ shall mean an organization which instructs IDFC FIRST Bank to issue a Premium Pass for the exclusive use of its employees / business associates etc.
  3. ‘IDFC FIRST Bank’ shall mean IDFC FIRST Bank Ltd, a Company incorporated and registered under the Companies Act, 1956, having its registered office at KRM Tower, 7th Floor, No. 1, Harrington Road, Chetpet, Chennai - 600 031, Tamil Nadu, India includes its representatives and assignees.
  4. 'Merchant Establishment’ shall mean such physical or online establishments, located in India, which honor a RUPAY prepaid card shall include, among others, stores, shops, restaurants, hotels (whether retailers, distributors or manufacturers including retail stores and online merchants.
  5. ‘Merchant’ means any person who owns or manages or operates a Merchant Establishment.
  6. 'PIN’ shall mean the 4-digit Personal Identification Number which will be handed over along with the Premium Pass in a secured and sealed kit. The cardholder will be prompted to enter this PIN at the time of transaction.
  7. ‘Premium Pass’ or ‘Card’ or ‘Prepaid Card’, refers to the Sodexo/ IDFC FIRST co-branded Card which is a RUPAY enabled Domestic Prepaid Card issued to the Client by IDFC FIRST Bank in association with its co-branding Partner Sodexo. Premium Pass includes ‘Premium Pass - Celebrations’ and ‘Premium Pass - Rewards’
  8. ‘Premium Pass Celebrations’, means Premium Pass that is a non-reloadable PIN-based card and issued with validity of 1 (one) year.
  9. ‘Premium Pass Rewards’, means Premium Pass that is a reloadable PIN-based card and issued with validity of 3 (three) years.
  10. 'EDC Terminal' refers to electronic Point-of-Sale terminals at Merchant establishments, whether of IDFC FIRST Bank or any other bank, on the shared network, that permit debiting of the Card account for purchase transactions from merchant establishments.
  11. ‘Transactions’ shall mean any instruction given by a Cardholder using a Card directly or indirectly to Sodexo to affect a transaction.
  12. ‘Consumer(s) / Cardholder(s)’ shall mean an employee / business associates of the Client who has been issued a valid Premium Pass by Sodexo. The terms "you" and "your" refer to employee/ business associates of the Client who has been issued a valid Sodexo Premium Pass (i.e. the ultimate beneficiary or the “Cardholder”)
  13. ‘Valid Premium Pass’ shall mean a Premium Pass issued by IDFC FIRST Bank in association with it’s co-branding partner Sodexo; not expired or mutilated or altered and conforms to Issuers guidelines or instructions issued from time to time.


The Card is sent in an inactive mode for security purposes and must be activated before usage. The card can be activated online on the ‘Card Activation Portal’ or via SMS. Details of card activation are mentioned in the welcome letter or can be viewed on the FAQ section of the Sodexo website

Once the Card is activated, it can be used to make purchases until the “Validity” date printed on the Card. The Card is valid up to the expiry date mentioned on the face of the card. On that date, unless prohibited by applicable law, the Card and any available balance will expire and you can no longer use the Card or access the available balance.

In case you are a Min KYC Pre-Paid Instruments(PPI) Holder as of 24th dec 2019, the PPI will be categorized under new type of Min KYC semi-closed PPI considering all loading has been done through a bank account. “

IDFC FIRST Bank/Sodexo at its absolute discretion may terminate the Card.


The Card is not transferable and can be used only by the User of the Card. The Premium Pass is issued under RUPAY Scheme and can be used only in India. International purchases and purchases from International sites are restricted.

The Card is for electronic use only, however in the case the transaction is authorized on EDC Terminal then a charge slip/ sales slip is printed electronically from the EDC Terminal. The Cardholder will need to enter the 4-digit PIN at the time of transactions. The Cardholder may sign a sales slip whenever the Card is used at a Merchant Establishment and should retain his copy.

The Premium Pass does not facilitate balance transfer or cash withdrawal. No interest shall be payable by IDFC FIRST Bank Ltd/Sodexo on the amount available / loaded on the Card. IDFC FIRST Bank/Sodexo accepts no responsibility for any surcharge levied by a Merchant and debited to the Card Account.

Any payment request from a Cardholder by means of the Premium Pass gives rise to a systemic authorization request. A purchase will not be authorized if it exceeds the available balance. However, if such a transaction is authorized, due to systems malfunction or any other reason, you are liable for and agree to pay immediately the difference between the available balance and the transaction amount. The transaction may be rejected if;

  1. the Card is reported lost or stolen;
  2. we are uncertain whether the transaction is authorized by you
  3. the card is expired or the available balance is not sufficient;
  4. if the transaction PIN (where applicable) entered is incorrect
  5. the transaction parameters do not meet the parameters defined by the Client
  6. We may temporarily “freeze” the Card and attempt to contact you if we note transactions that are unusual or appear suspicious.

Once the transaction is initiated and authorized, no stop payment request may be raised on any transaction originated by use of your Card.

The Cardholder is responsible for safeguarding the Card. The card will at all point of time remain the property of IDFC FIRST Ltd and the Cardholder needs to return the card to IDFC FIRST Bank Ltd/Sodexo whenever requested. In case the User is in receipt of lost or misplaced card, the same will be handed over to Sodexo.


IDFC FIRST Bank/Sodexo will not generate any card statements (Physical/ PDF) that will be sent across to the Cardholder. The Cardholder can log onto the Cardholder Portal to view and download card transaction history. Cardholder can also view card transactions using the ‘Zeta’ mobile application. However, SMS or e-mail alerts will be sent to the mobile number/ email ID of registered Cardholders against certain card activity.


The Cardholder agrees to bring all disputes about a Transaction or entry in the Card Account to the notice of IDFC FIRST Bank/Sodexo within 15 days from the date of such Transaction or entry, in absence of which all Transaction and Card Account entries shall be constructed as correct and accepted by the Cardholder. The Cardholder can notify Sodexo in writing ( or via Customer Service (Contact Numbers: 1800 103 3030/ 1800 267 3030). IDFC FIRST Bank/Sodexo will conduct a thorough investigation and revert with the findings, and our findings shall be final and conclusive.


Keep the Card and PIN in a safe place. Keep the PIN separate from the Card and do not give or otherwise make available to others the Card or PIN. You should sign on the reverse of the Card immediately upon receipt. Sodexo will NOT entertain any fraud or ZERO LIABILITY claims for Sodexo Premium Pass.


In case the Sodexo Premium Pass is misplaced/stolen or otherwise lost, the Cardholder must immediately report the same to Sodexo by calling Customer Service (Contact Numbers: 1800 103 3030/ 1800 267 3030) for blocking the Card. The Cardholder may also block the IDFC FIRST Bank Sodexo Premium Pass by logging into the Cardholder Portal or via the ‘Zeta’ mobile app. Blocking the card in this manner is the best way of minimizing potential losses. IDFC FIRST Bank/Sodexo shall not be liable for any loss by the misuse of the card. IDFC FIRST Bank/Sodexo will replace a card with balance that was available on the blocked card only on request from the registered Cardholder post authentication. Such replacement would attract applicable charges as communicated to the Cardholder in the welcome letter and the card replacement request will be fulfilled only on realizing these charges form the card balance.


The Card issued to you shall remain the property of IDFC FIRST Bank/Sodexo and shall be surrendered to IDFC FIRST Bank/Sodexo, on request. Once issued, a card can only be cancelled by the Client and not the Cardholder. Under no circumstances will IDFC FIRST Bank/Sodexo entertain card cancellation and refund requests directly from the Cardholder. If a Client requests IDFC FIRST Bank/Sodexo to cancel an active card, the same will be communicated to the Cardholder. Once a card is cancelled the Cardholder must destroy the card or return it to IDFC FIRST Bank/Sodexo.


IDFC FIRST Bank/Sodexo is not responsible or liable for any special, direct, indirect, incidental, consequential, punitive or exemplary damages, including, but not limited to, lost profits with regards to the use of the card, the quality of products or services purchased from the Merchant, user experience or in connection with this arrangement.


Except where prohibited by applicable law, IDFC FIRST Bank/Sodexo may cancel or modify any terms, conditions, or services related to use of the IDFC FIRST Bank Sodexo Premium Pass including any part of this Agreement without notice to you. We may delay or waive any right at any time but such delay or waiver shall not affect exercise of those rights in the future. The IDFC FIRST Bank/Sodexo Premium Pass is governed by the Reserve Bank of India (“RBI”) guidelines and is also subject to directions/instructions issued by the regulators from time to time. IDFC FIRST Bank/Sodexo is not responsible or liable for any violation of applicable laws by the User. All transactions done using the IDFC FIRST Bank/Sodexo Premium Pass are subject to applicable Indian laws. The User shall not use the Card for any unlawful activity. By using this Card, the User(s) hereby declare that his/ her name does not, at any time, appear in the consolidated list of Terrorist Individuals Organizations as circulated by RBI from time to time.


During any Customer Service call, we may request for information such as your phone number, date of birth, and postal code that you have provided to IDFC FIRST Bank/Sodexo at the time of registration. We may also obtain personal information about you, including information

  1. provided to us by the Customer, such as your name and/or your address,
  2. provided by you at the time of activation/ KYC submission or during Customer service calls, and about purchases made with the Card, such as the date, the amount and the place of purchase. For purposes of fraud prevention and regulatory compliance.

We will use this information to process Card transactions, provide Customer service, enhance usage at Merchants, process claims for lost or stolen Cards and help protect against fraud. We may also use such Information for marketing purposes and to conduct research and analysis. We may provide certain Information to others outside of IDFC FIRST Bank/Sodexo as permitted by any law, such as to government entities or other third parties as required by any law.

We may develop marketing programs and send you offer for products and services. We do not share Cardholder Information including Cardholder addresses and mobile numbers with other companies for them to market their own products and services. We may also be required to disclose information to RBI or such other authority as may be required by RBI or under any other applicable law, relating to you and/or to the transactions entered using the IDFC FIRST Bank/Sodexo Premium Pass.

You agree and provide your consent to share the above information including but not limited to transaction history, card balance amount, usage pattern etc to your Employer/ our Client who has placed the order for your Card with Sodexo

Telephone Monitoring/Recording: From time to time we may monitor and /or record telephone calls between you and Customer Service Executive to assure the quality of our Customer service or as required by applicable law.


IDFC FIRST Bank/Sodexo is not responsible or liable to you;

  1. for any loss or misuse of the Card,
  2. for any interruption of Card service,
  3. for the quality, safety, legality, or any other aspect of the products and services purchased from any Merchant with the Card.

If a Merchant fails to honor the Card or discriminate the user using other mode of payment, please notify Customer Service Services at 022-69196919/022-49196919 or write to us at to report the incident immediately.

If you have a complaint with any purchase made with the Card, or a dispute with a Merchant, you must try and directly resolve the same with the Merchant involved to the best of your ability.


The Premium Pass are classified as Payment Instruments as defined under the Issuance and Operation of Pre-Paid Payment Instruments in India (Reserve Bank) Directions, 2009 which is governed by the Payment and Settlement Act, 2007 ('PSS Act, 2007'). All relevant Regulations will be binding on all the system participants as applicable from time to time.

In compliance with RBI directions issued under PSS Act, 2007, the amount received from the Client for value of cards is deposited in an Escrow Account with IDFC FIRST Bank, to ensure honoring of payments against Valid Card transactions to the Merchant.

The user agrees to provide IDFC FIRST Bank/Sodexo with necessary information/documents as may be required to comply with Know Your Client / Anti - Money Laundering & Combating Financial Terrorism Guidelines issued by RBI including any amendments thereto.

These Terms and Conditions and the Card, and all questions about their legality, enforceability and interpretation, are governed by the Indian laws and shall be subject to the sole and exclusive jurisdiction of Mumbai courts only.


By obtaining the Card or by signing the back of the Card or by using the Card, you agree to be bound by these Terms and Conditions in their entirety and agree to comply with applicable law at all times. The Card must be signed before use. The primary responsibility to ensure compliance with these Terms & Conditions by the Cardholder shall lie with the User of the Card.

During the term of the arrangement, IDFC FIRST Bank Limited (“IDFC FIRST”) and Sodexo SVC India Private Limited (“Sodexo”) jointly will be your exclusive provider of the Services. Please note that IDFC FIRST is the issuing bank and the BIN sponsor and is responsible card issuance and settlement activities and chargeback related roles and responsibilities. All other Services under the Transaction Documents are solely and completely provided Sodexo to the complete exclusion of IDFC FIRST Bank.
